1. Definitions
1.1 “Platform” – the website https://www.codexnova.com/ and any sub-domains, branded “Codexnova”.
1.2 “Company”, “we”, “us”, “our” – EestIBIK OÜ, private limited company, registry code 14275503, VAT EE102376852, business address Pärnu mnt 139c, Kesklinn, 11317 Tallinn, Estonia.
1.3 “Creator” – a registered user who uploads digital photo or video content for sale via the Platform.
1.4 “Buyer” – a registered or guest user who purchases and downloads content.
1.5 “Content” – any digital asset (photo, video, metadata) made available on the Platform.
1.6 “Pay In” – the transaction whereby a Buyer pays the Purchase Price to the Company.
1.7 “Pay Out” – the remittance of the Creator’s earnings by the Company.
1.8 “Purchase Price” – the amount (inclusive of applicable VAT) payable by a Buyer for a licence to use Content.
2. Acceptance of Terms
Accessing or using the Platform constitutes acceptance of these Terms. If you do not agree, you must refrain from using the Platform.
3. Eligibility & Account Registration
3.1 You must be at least 18 years old (or legal age of majority in your jurisdiction).
3.2 Creators must complete know-your-customer (KYC) verification, including submission of a government-issued ID and tax information.
3.3 Accounts are personal and non-transferable; you are responsible for all activity under your credentials.
4. Scope of Services
4.1 Marketplace Functionality – We provide a peer-to-peer venue where Creators list Content and Buyers obtain licences.
4.2 We do not act as an agent for either party; we are an independent service provider processing Pay In and Pay Out transactions.
4.3 We reserve the right to modify, suspend, or discontinue the Platform without liability.
5. Intellectual-Property & Licence Grant
5.1 Upon successful Pay In, the Buyer receives a non-exclusive, perpetual, worldwide licence to use the Content for commercial and non-commercial purposes, subject to clause 5.3.
5.2 Ownership of copyright remains with the Creator.
5.3 Prohibited uses:
• resale or sub-licensing of standalone files;
• use in pornographic, defamatory, political-deep-fake or trademark-infringing materials;
• redistribution via competitive stock platforms.
5.4 Buy-outs or exclusive licences are available only under a separate written agreement.
6. Prices, Taxes & Pay In
6.1 Prices are displayed in euros (€) and include VAT where applicable.
6.2 Payment methods: major payment cards, SEPA credit transfer, and—where permitted—selected cryptocurrencies.
6.3 A payment is deemed complete when our payment service provider confirms settlement.
7. Pay Out to Creators
7.1 Earnings: 70 % of the Purchase Price net of VAT and transaction fees.
7.2 Minimum threshold: €50; Pay Outs are processed weekly to the Creator’s verified IBAN or crypto wallet.
7.3 The Creator bears responsibility for reporting and paying any taxes arising from income.
7.4 We may withhold Pay Outs (i) pending verification, (ii) on reasonable suspicion of fraud, or (iii) to comply with sanctions or court orders.
8. Right of Withdrawal & Refunds
8.1 Under the EU Digital Content Directive, the statutory 14-day right of withdrawal ends once the download begins.
8.2 Refunds will only be granted where files are technically defective and the defect cannot be remedied within 48 hours of notice.
8.3 Charge-backs initiated by Buyers will be contested; Creators may see corresponding deductions.
9. Prohibited Conduct & Content
You agree not to:
- upload Content that violates intellectual-property or personality rights;
- interfere with security features or attempt to scrape bulk files;
- transmit malware or conduct phishing;
- use automated bots to purchase or upload Content.
10. Content Moderation & Notice-and-Takedown
10.1 We operate a repeat-infringer policy and may disable accounts after three substantiated infringement notices.
10.2 Rights-holders may submit takedown requests to info@codexnova.com. We respond within 48 hours.
11. Data Protection
11.1 We process personal data in accordance with our Privacy Notice and the EU General Data Protection Regulation (GDPR).
11.2 Key purposes: account administration, transaction processing, anti-money-laundering (“AML”) compliance, and personalised marketing with consent.
11.3 Users have rights of access, rectification, erasure, restriction, portability and objection.
12. Disclaimer of Warranties
The Platform and Content are provided “as is” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.
13. Limitation of Liability
13.1 To the maximum extent permitted by law, the Company’s total liability arising out of or in connection with these Terms shall not exceed the greater of (a) €100 or (b) the total fees paid by you to us in the preceding 12 months.
13.2 Nothing in these Terms limits liability for death, personal injury, wilful misconduct, or statutory rights that cannot be excluded.
14. Indemnification
You will indemnify and hold us harmless against any claim, loss or expense arising from (i) your breach of these Terms, (ii) your Content, or (iii) your infringement of any rights.
15. Termination
15.1 You may terminate your account at any time via your dashboard.
15.2 We may suspend or terminate accounts immediately on material breach or legal requirement.
15.3 Clauses that by nature survive termination (e.g., IP licences, liability, indemnity) remain in force.
16. Amendments
We may update these Terms by posting a revised version with at least 14 days’ notice. Continued use after the effective date constitutes acceptance.
17. Governing Law & Dispute Resolution
17.1 These Terms are governed by Estonian law.
17.2 Consumers within the EU may submit disputes to the EU ODR platform.
17.3 All other disputes shall be resolved by the competent court of Harju County, Estonia, unless mandatory consumer law provides otherwise.
18. Sale of Digital Products
The platform is the sole seller of all digital products listed on the website. Users who submit content transfer their materials to the platform and do not enter into direct sales relationships with other users. All transactions, payments, and access provisions are handled exclusively by the platform.
19. Payments
All payments are received directly by the platform. Users are not permitted to accept payments from buyers or conduct external sales outside the platform.

21. Miscellaneous
If any provision is deemed unenforceable, the remaining provisions remain in effect. No waiver shall be deemed a further or continuing waiver. These Terms constitute the entire agreement between you and us regarding the Platform.
